Terms of Service
1. Acceptance of Terms
Welcome to Bineca LLC ("Bineca.com", "we", "us", or "our"). By accessing, subscribing to, or utilizing our outcome-based, video editing services (the "Services") or our client platforms (the "Websites"), you ("Client", "you", or "your") agree to be bound by these Terms of Use. If you do not agree to these terms, you may not access or use our Services.
2. Nature of the Service & Subscription Terms
Bineca LLC operates as a monthly subscription-based, service. We are not a traditional agency, nor do we engage in hourly freelance arrangements.
Subscription Model: Services are billed on a recurring monthly cycle. Your subscription grants you access to our editing pipeline based on your selected tier.
Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless explicitly canceled.
Cancellation Policy: To prevent the next automated billing charge, written notice of cancellation must be submitted via our client portal at least 14 days prior to your next scheduled billing date. Failure to provide 14 days' notice will result in the renewal of your subscription for one additional month.
Account Registration: You represent and warrant that all information you provide during onboarding is accurate. You are responsible for maintaining the confidentiality of your account access and all activities that occur under your account.
3. Scope of Work, Workflow, & Revisions
To maintain our delivery and ensure high-quality output, we enforce strict workflow protocols.
Sequential Processing: We operate on a sequential editing model. We process one (1) active task at a time per account (unless a multi-track Enterprise tier is explicitly purchased). A new request will not enter the active editing queue until the current active request is approved and finalized.
Defining a Request: A "request" is defined as a single video asset or specific deliverable submitted through our automated ingestion portal.
Consolidated Revisions: Revisions must be submitted exclusively through our designated review platforms (e.g., Frame.io or the Bineca client portal). Feedback must be consolidated. We do not accept piecemeal feedback sent via email, direct messages, or unapproved channels.
Limitations: A "revision" constitutes minor adjustments to the existing requested asset (e.g., text changes, pacing adjustments). Requests that require a fundamental change in creative direction, a new script, or newly uploaded raw footage after editing has commenced will be classified as an entirely new request and placed at the back of your queue.
4. Project Abandonment & Dormancy
To prevent bottlenecking in our operational pipeline, Bineca reserves the right to formally close active requests if the Client fails to provide necessary feedback, raw assets, or approval within fourteen (14) calendar days of our latest delivery or communication. If a project is closed due to abandonment, the Client must submit a new request to resume work, which will be placed at the back of the active queue.
5. User Content & Acceptable Use Guidelines
You are solely responsible for the content, assets, and raw footage you upload to our platforms ("User Content"). You agree not to upload, post, or otherwise transmit any User Content that:
Violates or infringes upon the intellectual property rights, privacy rights, or publicity rights of others.
Contains or advocates pornography, sexually explicit content, obscenity, or violence.
Contains expressions of bigotry, racism, or hate speech.
Violates any applicable local, state, national, or international law.
Contains software viruses, malware, or destructive code designed to disrupt our automation pipelines or cloud servers.
Bineca LLC reserves absolute discretion to refuse service, delete content, and immediately terminate the accounts of Users who violate these acceptable use guidelines without refund.
6. The "Output" Guarantee & Turnaround Times
Standard Turnaround: Our standard turnaround time for short-form video assets is typically 24-48 business hours.
Clock Initialization: Turnaround time expectations do not begin when your payment clears. The 24-48 hour fulfillment clock begins strictly and exclusively after all necessary raw files, brand assets, and unambiguous creative instructions have been successfully submitted and verified via our automated onboarding system. Delays caused by missing files, corrupt uploads, or unclear instructions are the sole responsibility of the Client.
7. Refund Policy
Due to the high-quality, custom, and labor-intensive nature of creative video production, Bineca LLC enforces a strict no-refund policy. Once a subscription payment has been processed and our team has commenced work on your account or ingested your assets, no refunds—prorated or otherwise—will be issued. We guarantee the execution of our services as outlined, but we do not issue refunds for unused queue time or changes in Client strategy.
8. Client Responsibilities & Intellectual Property
Asset Ownership & License to Perform: The Client represents and warrants that they own, or have secured the necessary licenses for, all raw footage, images, music tracks, audio files, and brand assets submitted to Bineca LLC. By submitting User Content, you grant Bineca LLC a limited, worldwide, royalty-free license to access, use, process, and modify the content strictly for the purpose of fulfilling the requested Services. Bineca LLC assumes zero liability for copyright strikes, DMCA takedowns, or legal disputes arising from materials provided by the Client.
Portfolio Rights: Bineca LLC retains the right to utilize finalized, non-confidential video assets for our own promotional purposes, case studies, and portfolio display. If a Client requires strict confidentiality, a separate Non-Disclosure Agreement (NDA) must be signed and approved prior to the commencement of work.
9. Disclaimer of Warranties & Limitation of Liability
"AS IS" Basis: THE SERVICES AND WEBSITES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BINECA LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
No Performance Guarantees: We explicitly disclaim any liability regarding the performance of the delivered assets. We make no guarantees regarding Return on Investment (ROI), Return on Ad Spend (ROAS), view counts, engagement metrics, or sales conversions resulting from the use of our videos.
Maximum Liability: TO THE FULLEST EXTENT PERMISSIBLE BY LAW, IN NO EVENT SHALL BINECA LLC’S TOTAL LIABILITY TO THE CLIENT FOR ANY CLAIMS, BREACHES, OR DAMAGES EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO BINECA LLC DURING THE ONE (1) MONTH BILLING CYCLE IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless Bineca LLC, its affiliates, employees, contractors (including our global editing teams), and agents from and against all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party right, including intellectual property or privacy rights related to the assets you provide.
11. Governing Law & Dispute Resolution
These Terms of Use shall be governed by and construed exclusively in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You hereby irrevocably and unconditionally consent to submit to the exclusive jurisdiction of the state or federal courts located in Delaware for any disputes. YOU WAIVE YOUR RIGHT TO A JURY TRIAL in any legal proceeding arising out of or relating to these Terms or the Services.
12. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
13. Modifications to Terms
Bineca LLC reserves the right to update or modify these Terms of Use at any time to reflect changes in our operational model or legal requirements. Your continued use of the Services following any such changes constitutes your formal acceptance of the new Terms.
